Terms of service

The agreement between dijitul Ltd and a customer of the gateway.

These terms of service (the “Terms”) are entered into between dijitul Ltd, a company incorporated in England and Wales with company number TODO-COMPANY-NUMBER and registered office at TODO-REGISTERED-ADDRESS (“we”, “us”, “our”), and the person or organisation that registers for an account (“you”, “Customer”).

By creating an account, generating an API key or sending a request to the Service, you agree to be bound by these Terms. If you are agreeing on behalf of an organisation, you warrant that you have authority to bind that organisation.

1. Definitions

In these Terms:

  • “Service” means the dijitul AI Gateway API gateway made available at ai.dijitul.uk, together with the associated dashboard and documentation.
  • “API Key” means a credential issued to you for authenticating requests to the Service.
  • “Customer Data” means data you submit to the Service, including prompt content, and the model outputs returned to you.
  • “Model Provider” means the provider of the underlying large language models made available through the Service.
  • “Sub-processor” means a third party engaged by us to process Customer Data, as identified in the Data Processing Addendum.
  • “Residency Tier” means the geographic constraint applied to a key, as described in clause 5 and on the data residency page.

2. The service

2.1 What we provide

We provide an API gateway that accepts requests in the Anthropic Messages API format, applies the controls you have configured, and forwards them to Amazon Bedrock for inference within the region scope permitted by your Residency Tier. We return the model's response to you together with usage metadata.

2.2 What we do not provide

We do not develop, train or control the models. We are not a reseller for, agent of, or otherwise affiliated with the Model Provider. Model behaviour, capability and availability are outside our control.

2.3 Changes to the Service

We may add, modify or withdraw models and features. Where a change materially reduces functionality you are actively using, we will give you at least TODO-NOTICE-PERIOD days' notice by email, except where a shorter period is necessary to comply with law, to respond to a security issue, or because an upstream provider has withdrawn something at shorter notice than that.

3. Accounts and API keys

You are responsible for:

  • the accuracy of the registration information you give us;
  • all activity carried out using your API Keys, whether or not authorised by you;
  • keeping API Keys secret, and revoking any key you believe has been disclosed; and
  • the acts and omissions of your personnel, contractors and end users in their use of the Service.

API Keys are displayed once at the point of creation and are stored by us only as a cryptographic hash. We cannot recover a key on your behalf. You may create, rotate and revoke keys at any time from the dashboard.

We may suspend a key or an account immediately, without notice, where we reasonably believe it has been compromised, is being used in breach of clause 4, or is generating load that threatens the stability of the Service for other customers. We will tell you as soon as reasonably practicable and will restore access once the cause is resolved.

4. Acceptable use

Your use of the Service is subject to the Acceptable Use Policy, which forms part of these Terms. In summary, you must not use the Service unlawfully, to harm others, to circumvent our metering or rate limits, or in a way that breaches the Model Provider's own usage policies.

5. Data residency

5.1 Tiers

Each API Key is assigned a Residency Tier. On the UK tier, inference is invoked In-Region on AWS Europe (London), eu-west-2; your prompts are processed in the United Kingdom and do not leave it. On the EEA tier, inference uses AWS's EU cross-region inference profile and may be processed in any of Dublin, London, Paris, Frankfurt, Stockholm, Milan or Madrid; your prompts are processed within EU/EEA regions and may leave the United Kingdom, but do not leave the EEA.

5.2 Fail-closed

A Residency Tier is a ceiling, not a preference. If no permitted route is available for a request, that request will fail with an error. We will not process a request outside its Residency Tier in order to fulfil it.

5.3 Model availability

Not every model is available on every tier. Availability depends on what the underlying platform offers In-Region, which is outside our control and may change. The current position is published on the data residency page.

6. Data protection

Where you submit personal data to the Service, you are the controller and we are a processor acting on your instructions. Our processing is governed by the Data Processing Addendum, which forms part of these Terms and takes precedence over these Terms in the event of conflict on any data protection matter.

We do not use Customer Data to train models. We do not retain prompt or completion bodies except where you have expressly enabled time-limited debug capture. Our full position is set out in the Privacy Notice and on the security page.

7. Fees and payment

  • Fees are those set out on the pricing page or in an order form agreed with you, and are stated in pounds sterling exclusive of VAT.
  • Subscription fees are payable monthly in advance. Usage in excess of the included allowance is billed in arrears at the published overage rate.
  • Where a free trial applies, it converts to a paid subscription at the end of the trial period unless cancelled beforehand.
  • We may suspend the Service where an invoice remains unpaid TODO-DUNNING-PERIOD days after its due date, having given you notice.
  • We may change published prices on not less than TODO-PRICE-NOTICE days' notice, effective from your next billing period.

Metering is performed by us on the basis of tokens reported by the upstream platform. Usage figures are available to you in the dashboard and on each API response. If you dispute a figure in good faith, tell us within 30 days and we will investigate.

8. Availability and support

We will use reasonable endeavours to make the Service available. TODO(commercial): insert the service level commitment, the measurement window, the exclusions, and the service credit regime, or state expressly that the Service is provided without a contractual uptime commitment.

Support is provided by email to support@dijitul.uk during UK business hours. TODO(commercial): confirm target response times by plan.

9. Intellectual property

We retain all rights in the Service, including the gateway software, the dashboard and the documentation. You retain all rights in your Customer Data. You grant us a non-exclusive licence to process Customer Data solely to the extent necessary to provide the Service to you.

You may not reverse engineer the Service, resell access to it without our written agreement, or use it to build a competing product.

10. Model outputs

As between you and us, you own the outputs returned to you, to the extent such outputs are capable of ownership. You should be aware that:

  • outputs are generated statistically and may be inaccurate, incomplete or misleading;
  • identical or similar prompts submitted by different customers may produce similar outputs, and originality is not guaranteed;
  • outputs are not legal, financial, medical or other professional advice; and
  • you are responsible for reviewing outputs before relying on them, and for any decision taken on the basis of them.

11. Warranties

Each party warrants that it has authority to enter into these Terms. We warrant that we will provide the Service with reasonable skill and care.

Save as expressly set out in these Terms, and to the fullest extent permitted by law, all warranties, conditions and terms implied by statute or common law are excluded. In particular we do not warrant that the Service will be uninterrupted or error-free, or that outputs will be accurate or fit for any particular purpose.

12. Limitation of liability

Nothing in these Terms limits or excludes either party's liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded.

Subject to the paragraph above, neither party is liable for loss of profit, loss of business, loss of anticipated savings, loss of goodwill, or any indirect or consequential loss.

Subject to the two paragraphs above, each party's total aggregate liability arising out of or in connection with these Terms is limited to TODO-LIABILITY-CAP — commonly the total fees paid or payable in the twelve months preceding the event giving rise to the claim. TODO(legal): confirm the cap, whether data protection liability sits inside or outside it, and whether a separate super-cap applies to breach of confidentiality.

13. Indemnity

You will indemnify us against claims, losses and reasonable costs arising from your use of the Service in breach of these Terms or the Acceptable Use Policy, or from Customer Data that infringes a third party's rights or breaches applicable law.

TODO(legal): consider a reciprocal IP indemnity from us in respect of the Service itself, and its scope.

14. Term and termination

  • These Terms begin when you create an account and continue until terminated.
  • You may terminate at any time by cancelling your subscription in the dashboard. Fees already paid for the current period are not refundable except where required by law.
  • Either party may terminate immediately on written notice if the other commits a material breach that is not remedied within 30 days of notice, or becomes insolvent.
  • On termination, your API Keys are revoked. We will delete or return Customer Data in accordance with the Data Processing Addendum.

15. Changes to these terms

We may amend these Terms. Where an amendment is material we will notify you by email at least TODO-TERMS-NOTICE days before it takes effect. Continued use of the Service after the effective date constitutes acceptance. If you do not accept a material change, you may terminate before it takes effect.

16. General

  • Entire agreement. These Terms, the Acceptable Use Policy, the Data Processing Addendum and any order form constitute the entire agreement between the parties.
  • Assignment. Neither party may assign without the other's written consent, save to a successor in title to substantially the whole of its business.
  • No partnership. Nothing in these Terms creates a partnership, agency or employment relationship.
  • Third parties. A person who is not a party has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term.
  • Severance. If any provision is held invalid, the remainder continues in force.
  • Force majeure. Neither party is liable for failure caused by an event beyond its reasonable control.
  • Notices. Notices to us should be sent to support@dijitul.uk and to our registered office. Notices to you will be sent to the email address on your account.

17. Governing law and jurisdiction

These Terms and any dispute arising out of or in connection with them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court.
